Turgame Dealer Agreement

This Agreement governs the relationship between Turgame.com ("Company") and the partner ("Dealer") who has been approved into the Turgame Dealer Programme. By accepting it the Dealer confirms they have read, understood, and will operate under the terms below.

1. Parties

Company: Turgame.com, Istanbul, Türkiye
Dealer: the natural or legal person whose dealer application has been approved by the Company.

2. Programme Tiers and Discounts

Discounts are tiered by trailing 12-month revenue and re-calculated monthly:

• Bronze (₺0+): standard dealer rate
• Silver (₺5.000+)
• Gold (₺20.000+)
• Platinum (₺50.000+)

Exact percentages and the strategic-partner override are documented inside the Dealer Portal and may be revised with 30 days' notice.

3. KYC and Onboarding

Before activation, the Dealer must complete identity verification: tax ID / VKN (or equivalent), bank account details for payouts, and a signed copy of this Agreement. The Company may suspend or terminate dealer status if any KYC document is later found to be false or out of date.

4. Dealer Obligations

• Respect Turgame's published pricing policy when reselling codes to end customers.
• Refrain from fraudulent transactions, stolen-card use, money laundering, or any prohibited activity under applicable law.
• Issue their own sales contract and tax-compliant invoice to their end customers — Turgame acts solely as a B2B wholesale supplier.
• Keep MERSİS / company information current; notify the Company within 5 business days of any material change (ownership, address, banking).
• Treat all customer data exposed via the dealer portal as confidential — never share, resell, or expose to third parties.

5. Payment, Settlement, and Chargebacks

Dealer purchases are settled through the Turgame Wallet. The dealer discount is applied at order time; no rebate is owed after the fact. Chargebacks initiated by the dealer's end customers are charged back to the dealer's wallet within 7 business days of notification.

6. Sub-Dealers

Where the dealer programme allows multi-tier resale, the Dealer remains fully responsible for the conduct of any sub-dealer they approve. The Company may require the dealer to provide KYC records for sub-dealers on request.

7. Termination

Either party may terminate this Agreement with 30 days' written notice. The Company may suspend access immediately for: fraud, repeated customer complaints, regulatory enforcement requests, or material breach. Outstanding balances are settled within 14 days of termination.

8. Confidentiality

Pricing schedules, supplier sources, internal margins, and customer data accessed via the dealer portal are confidential during and for two (2) years after this Agreement ends. Breach may result in legal action.

9. Governing Law and Disputes

This Agreement is governed by the laws of the Republic of Türkiye. Disputes are referred to the Istanbul Çağlayan Courts and Enforcement Offices, without prejudice to the consumer-protection rights of end customers (which remain with the Dealer to honour).

10. Effective Date

This Agreement enters into force when the Dealer accepts it electronically. The acceptance is logged with timestamp, IP, user-agent, device handle, and a SHA-256 hash of the canonical record.
